These Terms and Conditions (“Agreement”) govern the relationship between Local Buy Online (“Platform,” “we,” or “us”) and the third-party vendor (“Vendor,” “you,” or “your”) who wishes to sell products on our e-commerce marketplace, localbuyonline.com (“Marketplace”). By registering as a vendor and listing products on Local Buy Online, you agree to abide by these Terms and Conditions.

Local Buy Online operates as an e-commerce marketplace that allows third-party vendors to list and sell products through our platform. The Vendor agrees to provide accurate product listings, manage inventory, fulfill orders, and comply with all applicable laws and regulations.

Account Creation: To become a Vendor, you must create an account on Local Buy Online. The Platform reserves the right to approve or reject any Vendor registration at its discretion.

Acceptance of Orders: Orders placed by customers on Local Buy Online are subject to the Vendor’s acceptance and fulfillment. The Vendor is responsible for processing and shipping orders in a timely manner.

Pricing: The Vendor is responsible for setting the prices of their products listed on Local Buy Online. The Platform may charge a commission or listing fee, which will be disclosed to the Vendor at the time of registration or product listing.

Payment Methods: Payments for orders are processed through Local Buy Online secure payment gateway, which supports Visa, MasterCard, American Express, PayPal, and other supported methods.

Vendor Payouts: After a sale is made, the Platform will remit payment to the Vendor minus applicable fees. Payments are made on a bi-weekly or monthly basis, depending on the Vendor’s account settings.

Late Payments: If payments are delayed due to the Vendor’s failure to provide accurate payment information, the Vendor will be responsible for any associated fees or delays.

Product Listings: Vendors must provide clear, accurate, and truthful descriptions of their products, including price, availability, and any relevant shipping or warranty information.

Order Fulfillment: The Vendor is responsible for fulfilling orders in a timely manner. Orders should be processed within 2-3 business days of receiving the order.

Shipping: The Vendor is responsible for shipping products directly to the customer, including covering all shipping fees unless otherwise agreed with the customer.

Compliance: Vendors must comply with all applicable local, state, and national laws, including those related to product safety, intellectual property, and consumer protection.

Commission Fees: Local Buy Online charges a commission fee on each sale made through the Marketplace. The standard commission rate is [10%] per transaction, but this rate may vary based on the Vendor’s subscription plan or product.

Listing Fees: There may be additional fees for premium listings or advertising opportunities on the Marketplace.

Fee Changes: Local Buy Online reserves the right to change commission and listing fees at any time. Vendors will be notified of any fee changes, and such changes will apply to new transactions following the notice.

Returns: Vendors must have a clear return policy that aligns with Local Buy Online return policy. The Vendor is responsible for handling returns and refunds in accordance with their own policy but must comply with any platform-wide return requirements.

Refunds: Refunds will be processed via the platform’s payment system. If a customer returns a product, the Vendor is responsible for issuing a refund to the customer and covering any return shipping costs if applicable.

Product Warranty: The Vendor provides a warranty for the products sold, covering defects in materials or workmanship under normal use for a period of [6 months] from the date of purchase, unless otherwise specified.

Limitation of Liability: Local Buy Online is not responsible for the actions or inactions of individual Vendors. The Vendor agrees to indemnify and hold harmless Local Buy Online from any claims, damages, or losses arising from the Vendor’s products, services, or failure to fulfill orders.

Local Buy Online is committed to protecting the privacy and security of both the Vendor and customers. Vendors must handle customer data in compliance with applicable data protection laws, including the General Data Protection Regulation (GDPR) if selling to customers in the European Union.

Governing Law: This Agreement will be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

Arbitration: Any disputes between Local Buy Online and the Vendor will be resolved through binding arbitration under the rules of the Nigerian Arbitration Association. Arbitration will take place in the Federal Republic of Nigeria.

Jurisdiction: Any legal actions outside of arbitration must be brought in the competent courts of the Federal of Nigeria.

Termination by Vendor: Vendors can terminate their account at any time by notifying Local Buy Online. Upon termination, any pending sales or orders will be fulfilled, and the Vendor will receive payment for outstanding transactions.

Termination by Platform: Local Buy Online reserves the right to suspend or terminate a Vendor’s account for violation of these Terms and Conditions, fraudulent activity, or failure to comply with the Marketplace’s policies.

Local Buy Online reserves the right to modify these Terms and Conditions at any time. Any amendments will be communicated to the Vendor, and the updated Terms and Conditions will apply to all transactions made after the notice date.

Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

This Agreement constitutes the entire understanding between Local Buy Online and the Vendor and supersedes all prior agreements, communications, and understandings.
